AFFILIATE AGREEMENT
This Affiliate Agreement (“Agreement”) is entered into by and between:

WHEREAS, the Company operates a website at ____________; and

Now, therefore, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. AFFILIATION
1.1 The Company hereby appoints the Affiliate as its authorized, non-exclusive, temporary reseller to promote and market the Company’s products/services.
2. COMPENSATION
2.1 The Company agrees to pay the Affiliate a commission for all referred sales in accordance with Schedule A attached hereto.
3. LIMITED LICENSE RIGHTS
3.1 The Company grants the Affiliate a non-exclusive, non-transferable, revocable right to access the Company’s website through the Affiliate link solely in accordance with the terms of this Agreement.
4. REPRESENTATIONS AND WARRANTIES
4.1 Each party represents and warrants that they have the full authority to enter into this Agreement and to perform its obligations hereunder.
5. DISCLAIMERS
5.1 The Company makes no express or implied warranties or representations with respect to the Affiliate Program, or Company’s products/services. In addition, the Company makes no representation that the operation of its website will be uninterrupted or error-free.
6. TERM AND TERMINATION
6.1 This Agreement shall commence on the Effective Date and continue unless terminated by either party with written notice.
7. CONFIDENTIALITY
7.1 Both parties agree to maintain the confidentiality of all information obtained during the execution of this Agreement.
8. GOVERNING LAW
8.1 This Agreement shall be governed by the laws of the State of ____________.
9. DISPUTE RESOLUTION
9.1 Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or binding arbitration in the State of ____________.
10. AMENDMENTS
10.1 This Agreement may be changed only by written agreement of both parties.
