AFFILIATE PARTNERSHIP AGREEMENT

WHEREAS, the Affiliate has the capability to promote the products/services of the Company;
NOW, THEREFORE, in consideration of the premises and covenants contained herein, it is hereby agreed as follows:
- AFFILIATE APPOINTMENT
- 1.1 The Company hereby appoints the Affiliate, and the Affiliate hereby accepts such appointment, to promote and market the Company’s products/services.
- COMMISSIONS
- 2.1 The Company agrees to pay the Affiliate a commission for all sales generated through the Affiliate’s efforts as per the commission structure outlined in Exhibit A.
- MARKETING AND PROMOTION
- 3.1 The Affiliate agrees to adhere to all marketing guidelines provided by the Company.
- INTELLECTUAL PROPERTY
- 4.1 The Affiliate is granted a non-exclusive, revocable license to use the Company’s trademarks solely for the purposes outlined in this Agreement.
- TERM AND TERMINATION
- 5.1 This Agreement shall commence on the Effective Date and continue until terminated by either party with written notice.
- CONFIDENTIALITY
- 6.1 Both parties agree to maintain the confidentiality of all information obtained during the execution of this Agreement.
- GOVERNING LAW
- 7.1 This Agreement shall be governed by the laws of the State of _______________.
- AMENDMENT
- 8.1 This Agreement may be amended only by written agreement of both parties.
